Intellectual Property Policy

1. Ownership of the Service

SparqOS, including the software, design, source code, models, prompts, embeddings, training pipelines, documentation, blog content, marketing copy, methodologies (including the SparqOS daily briefing, outcomes, milestones, drop-lane, and review constructs), and the overall "look and feel," is owned by S Mobile Wireless LLC and protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws. All rights not expressly granted are reserved.

2. Trademarks

"SparqOS," the SparqOS wordmark, "S Mobile Wireless," and the related logos and product names are trademarks of S Mobile Wireless LLC. You may not use these marks in your own product name, domain, logo, social handle, advertising, or in any way that implies sponsorship, endorsement, or affiliation without our prior written permission.

3. License Granted to You

Subject to your compliance with these Terms, our Acceptable Use Policy, and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use SparqOS for your personal or internal business purposes. This license does not include any right to:

• Copy, clone, mirror, fork, or otherwise reproduce the Service or its UI.
• Build a competing product using SparqOS, its outputs, prompts, or methodologies.
• Use SparqOS outputs to train or evaluate another AI system.
• Remove or alter any copyright, trademark, or other proprietary notice.

4. Your Content

You retain ownership of the content you submit to SparqOS ("User Content"). You grant S Mobile Wireless LLC a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, and display your User Content solely to operate, secure, and improve the Service for you. We do not sell your User Content and we do not use the contents of your private workspaces to train foundation models.

5. Feedback

If you send us suggestions, ideas, or feedback about SparqOS, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback into the Service without any obligation or compensation to you.

6. Copyright Complaints (DMCA)

We respect the intellectual property rights of others. If you believe content on SparqOS infringes your copyright, send a written notice to our designated agent that includes:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the allegedly infringing material and its location on the Service (URL).
• Your contact information (address, phone, email).
• A statement, under penalty of perjury, that you have a good-faith belief that the use is not authorized and that the information in your notice is accurate, and that you are the owner or authorized to act on the owner's behalf.

7. Anti-Cloning & Trade Secret Protection

SparqOS contains trade secrets, including proprietary prompts, scoring logic, briefing structure, and orchestration patterns. Any attempt to extract, replicate, mirror, or train against these components is a material breach of these Terms and may be pursued under applicable trade secret, unfair competition, and copyright laws, including the U.S. Defend Trade Secrets Act and the Computer Fraud and Abuse Act.
